Terms and Conditions

1. Introduction and Acceptance of Terms

Welcome to Monnio ("the App"), operated by Monnio LLC ("Company," "we," "us," or "our"). We provide our Services (as defined below) to you subject to these Terms and Conditions (the "Terms"), our Privacy Policy, and any other guidelines, rules, policies, or supplementary terms which may be applicable to our Services, all of which are integral parts of these Terms.

The term "Services" encompasses the Monnio mobile application, all current and future platforms, related websites, functionalities, application programming interfaces (APIs), subscription plans, products, and content provided by Monnio LLC. Our Services are limited to providing cryptocurrency and blockchain data analytics, algorithmic signals, and informational content. We do not offer trading, exchange, custodial, or wallet services, and we do not hold, manage, or have control over any user's digital assets.

By accessing or using our Services, you confirm that you have read, understand, and accept all of the terms and conditions contained in these Terms, including our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

2. Changes to Our Services and Terms

We may modify or discontinue any aspect, feature, or functionality of the Services at our discretion and without prior notice. We may also amend these Terms to reflect changes to the Services or applicable legal requirements.

While we endeavor to notify users of material changes, it is your responsibility to review these Terms periodically and take note of the date our Terms were last revised. Your continued use of our Services after any changes become effective shall constitute your acceptance of the revised Terms.

3. User Accounts

3.1 Eligibility

To use our Services, you must be at least eighteen (18) years old or the legal age of majority in your jurisdiction. By creating an account, you represent and warrant that you meet this eligibility requirement.

3.2 Registration

Registration of a user account may be required to access certain of our Services. By registering, you represent that all information you provide is current, complete, and accurate. You agree to keep your account information updated. We will handle your personal information in accordance with our Privacy Policy.

3.3 Account Security

Your user account is personal and is only meant for your individual use. You agree not to share your account credentials with any third party. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Any use of your account is considered your responsibility, whether or not you have authorized such use.

If you suspect any unauthorized use of your account or any security breach, you must notify us immediately at hello@monnio.app.

3.4 Account Termination

You may terminate your account at any time through the account settings in the App or by contacting us. However, you remain responsible for any activity conducted prior to termination. There will be no refunds for termination unless otherwise expressly stated.

We may limit, suspend, or terminate your access to the Services or your account if we reasonably believe you have violated these Terms, applicable laws, or for security reasons. When practicable, we will notify you of such actions.

4. Subscriptions and Payments

4.1 Subscription Plans

The App offers various subscription plans that provide access to premium features and content, including but not limited to algorithmic trading signals, on-chain analytics, smart money wallet tracking, and portfolio management tools. Details of the subscription plans, including pricing and duration, are available within the App.

4.2 Billing

Subscription fees are billed at the beginning of the subscription period and may be billed on a recurring basis depending on the subscription plan selected (e.g., monthly or annually). Billing is processed through the applicable app store (Apple App Store or Google Play Store) and/or through third-party payment processors (e.g., RevenueCat), and is subject to their respective payment terms and conditions.

4.3 Free Trials

We may offer free trials of our subscription plans from time to time. If you do not cancel your subscription before the end of the trial period, you will be automatically charged for the subscription plan selected at the then-current rate.

4.4 Auto-Renewal

Subscriptions will automatically renew at the end of each subscription period unless you cancel the subscription before the renewal date. Renewal charges will be billed to the payment method you provided through the applicable app store.

4.5 Cancellation

You can cancel your subscription at any time through the app store where you purchased the subscription (Apple App Store or Google Play Store). Cancellations will take effect at the end of the current subscription period, and you will continue to have access to premium features until that period expires.

4.6 Refunds

All subscription fees are non-refundable, except as required by applicable law or the refund policies of the Apple App Store or Google Play Store. In the event of any billing issues or disputes, please contact the applicable app store's customer support or reach out to us at hello@monnio.app.

5. Acceptable Use

You agree to use our Services solely in accordance with these Terms and as permitted by applicable laws and regulations. You shall not use our Services in any manner that infringes, misappropriates, or violates any of our or any third party's intellectual property rights or other rights. We reserve the right to determine, in our sole discretion, whether any use of our Services violates these Terms. Without our express written consent, you shall not:

• copy, reproduce, rent, lease, loan, distribute, license, transfer, sell, resell, publicly display, adapt, or disclose, in whole or in part, the Services or any derivative works thereof;
• interact with, extract, mine, scrape, or download any information, data, or content from our Services, including without limitation using scripts, bots, engines, software, tools, agents, or other automated means or mechanisms, whether manual or automated;
• decompile, disassemble, reverse engineer, or determine or attempt to determine any source code, algorithms, methods, or techniques embodied by the Services;
• use our Services to create or support a product, service, or platform that competes with the Services, or use our Services for benchmarking or competitive analysis;
• use our Services to develop, test, market, or train artificial intelligence technology, machine learning models, or automated analytical techniques, unless specifically authorized in writing;
• probe, scan, test the vulnerability of, or attempt to circumvent security or authentication measures of any Services or features you are not authorized to access;
• interfere with or disrupt the proper working of the Services, any networks connected to the Services, or another user's enjoyment or legitimate use of our Services;
• upload, transmit, or introduce harmful code, files that contain viruses, trojans, worms, or other material that is malicious or technologically harmful;
• submit a wallet address associated with a trading bot, automated system, or high-frequency trading activity that generates an excessive volume of on-chain transactions, as this may place undue load on our systems and degrade service quality for other users;
• transmit any data that may not be lawfully transmitted to or processed by us under applicable laws, including data protection laws;
• portray us and/or our Services in a false, misleading, or derogatory manner; or
• attempt to do any of the foregoing.

6. Intellectual Property Ownership

6.1 Monnio Content

All content, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, materials, and "look and feel" of the Services, including all proprietary algorithms, analytical models, and trading signal methodologies, and all related intellectual property rights (the "Monnio Content"), are either owned by or licensed to Monnio LLC. Any use of the Monnio Content for purposes not expressly permitted by us is strictly prohibited.

These Terms do not confer on you any rights to use "Monnio" or any other trademarks, service marks, logos, trade names, or other proprietary indicia from any part of our Services, all of which remain the property of Monnio LLC or the relevant owner(s). We and our licensors reserve all rights not expressly granted to you in and to the Monnio Content.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a revocable, non-exclusive, personal, non-transferable, and non-sublicensable license to access and use our Services for your personal, non-commercial purposes. We retain all rights in our content and materials and reserve any rights not expressly granted. We may terminate this license at any time at our discretion.

7. Feedback

You may voluntarily submit questions, comments, suggestions, ideas, or other feedback about the Services (collectively, "Feedback"). By submitting any Feedback, you grant to us, to the extent permitted by applicable law, a perpetual, worldwide, unlimited, royalty-free, and fully transferable and sublicensable license to use, reproduce, modify, adapt, publish, create derivative works from, distribute, and display such Feedback in any media, without restriction, attribution, or compensation.

You understand that we are not obligated to keep any Feedback confidential or refrain from using or disclosing it in any way, and you agree to waive any privacy, publicity, moral, or similar rights in connection with such Feedback.

8. Blockchain Data and Analytics

Monnio is an information and analytics platform only. We do not offer trading, exchange, custodial, or wallet services of any kind. We do not hold, store, transmit, or have custody, possession, or control of your digital assets at any time. We do not facilitate, execute, or process any blockchain transactions on your behalf.

Our Services allow you to view and analyze publicly available blockchain data. You may submit blockchain wallet addresses by copying and pasting them into the App so that we can provide analytics and insights based on publicly available on-chain data. You agree and acknowledge that:

• Analytics Only. Our Services are strictly limited to providing data analytics, information, and insights based on publicly available blockchain data. We do not operate as a wallet provider, exchange, broker, custodian, or any other type of financial services provider. We do not facilitate, execute, or intermediate any transactions in digital assets.
• Read-Only Wallet Tracking. When you submit a blockchain wallet address to the App, we use it solely to retrieve and display publicly available on-chain data for analytical purposes. We never request or require access to your private keys, seed phrases, or any credentials that would grant control over your wallet. We cannot and do not access, move, or transact with any assets in any wallet.
• No Responsibility for Your Assets. Because we have no access to, custody of, or control over your digital assets, Monnio LLC is not responsible for any losses, theft, or unauthorized access to your wallet or digital assets, regardless of whether you have submitted that wallet address to our App.
• Blockchain Risks. You represent that you sufficiently understand the risks inherent to cryptographic and blockchain-based systems, including but not limited to risks related to changes in adoption rates, technology, protocol control, security, regulation, forks, hacks, exploits, protocol failures, network delays, and protocol attacks.

9. Algorithmic and Data-Driven Features

We may use automated analysis, algorithms, machine learning, and related technologies to provide features, functionalities, signals, and content as part of our Services ("Algorithmic Features"). If you use such Algorithmic Features, you agree and acknowledge that:

• You are interacting with automated systems and algorithms. The outputs of these systems are generated programmatically and not by human analysts.
• Algorithmic Features may produce outputs that are inaccurate, incomplete, not fit for a particular use, or which lack context. Not all signals or recommendations will be accurate or profitable.
• You accept the sole risk of relying on any outputs, signals, or recommendations generated by the Algorithmic Features.
• We may modify, update, suspend, or restrict access to the Algorithmic Features at any time without notice or explanation.
• Such features may integrate with or depend on third-party data providers and services.
• We shall not be liable to you or any third party for any losses, damages, or claims arising from the outputs of the Algorithmic Features.

10. No Financial Advice; No Inducement to Trade

IMPORTANT: You agree and acknowledge that:

• No Investment Advice. We are a technology platform. Our Services, and the information, data, signals, and content therein — including algorithmic trading signals, on-chain analytics, smart money tracking data, portfolio allocation suggestions, backtested performance data, and any other financial-related content — are intended solely for educational and general informational purposes. They do not constitute financial, investment, tax, legal, or professional advice.
• No Inducement to Trade. Our Services, including the availability or grant of access and/or use of the same, do not constitute: (i) an inducement to trade; (ii) a solicitation for orders; (iii) a prompt for any action or decision regarding whether to buy, sell, or hold any digital asset or participate in any protocol; or (iv) an offer to buy or sell investments, securities, or any other financial instruments in any jurisdiction.
• No Guarantee of Results. We do not guarantee or promise any expected or projected success, profitability, return, performance, or result in relation to any trade or investment you may make. Past performance data and backtested results do not guarantee future results.
• Your Responsibility. You are solely responsible for determining whether any investment, investment strategy, or related transaction is appropriate for you according to your personal investment objectives, financial circumstances, and risk tolerance. You should consult with a qualified financial professional before making any financial or investment decisions.
• No Fiduciary Relationship. We are not a broker, intermediary, agent, or advisor and we have no fiduciary relationship or obligation to you in connection with any trades or other decisions or activities undertaken by you using our Services.

11. Assumption of Risk

As with any asset, the value of digital assets can fluctuate significantly and there is a material risk of economic loss when buying, selling, holding, or investing in digital assets. Investment and trading decisions are subject to significant risks, including the possible loss of the principal amount invested.

By accessing and using our Services, you represent that you sufficiently understand the risks inherent to cryptographic and blockchain-based systems. You acknowledge that digital asset markets are susceptible to risks related to changes in adoption rates, technology, security, and regulations. You further acknowledge that trading in digital assets carries speculation risk, market risk, counterparty risk, liquidity risk, and other risks.

Monnio LLC shall not be liable for any losses, damages, or claims arising from your reliance on any information, data, signals, or content obtained from our Services, or from your investment or trading decisions.

12. Third-Party Services and Content

Our Services may contain links to, display content from, incorporate, interface with, or link to third-party websites, services, data providers, blockchain explorers, and other resources ("Third-Party Elements"). You agree and acknowledge that:

• We have no control over, and shall not be responsible or liable for, any damage or loss caused by or in connection with the use of any Third-Party Element. Any use by you of any Third-Party Element on or through our Services is entirely at your own risk.
• Your use of Third-Party Elements may be subject to additional terms and conditions of those third-party providers, over which we have no control.
• Links to third-party websites or resources are provided for your information only and must not be interpreted as our approval of those linked services or the information you may obtain from them.
• We do not endorse and are not responsible or liable for any content, advertising, products, services, or materials on or available through such Third-Party Elements.

13. Privacy

Your privacy is important to us. Please refer to our Privacy Policy for detailed information on how we collect, use, disclose, and protect your personal information. Our Privacy Policy is incorporated by reference into these Terms.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAWS, OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM, AND YOU WAIVE, ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF ACCURACY, ADEQUACY, COMPLETENESS, TIMELINESS, PERFORMANCE, SECURITY, CURRENCY, MERCHANTABILITY, QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND/OR NON-INFRINGEMENT.

This disclaimer applies to all features, functionalities, content, and materials provided as part of the Services, including but not limited to algorithmic trading signals, on-chain analytics data, portfolio management tools, and any data or information derived from third-party sources.

We may temporarily suspend access to our Services or portions thereof from time to time for maintenance without notice. We reserve the right to upgrade, modify, alter, suspend, discontinue, or remove, whether in whole or in part, the Services and/or any functionality therein, without giving any prior reason or notice. We do not warrant any particular level of availability for our Services.

You understand that your access or use of our Services is at your own risk, and we expressly disclaim all liability and responsibility for any damages, losses, claims, or causes of action related to any of our Services.

15. Limitation of Liability

TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT WILL MONNIO LLC OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING FOR ANY LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES, EVEN IF MONNIO LLC IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, AND TO THE EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO MONNIO LLC FOR OUR SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS (USD $100), WHICHEVER IS LOWER.

You acknowledge that if no fees have been paid to Monnio LLC, you shall not be entitled to damages of any kind from Monnio LLC, regardless of the cause of action, unless otherwise required by applicable law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Monnio LLC, its subsidiaries, affiliates, and each of their directors, officers, agents, contractors, partners, and employees, from and against any loss, liability, claim, demand, damages, costs, and expenses (including reasonable attorney's fees) arising out of or related to:

• your use of or inability to use the Services;
• your breach of these Terms or any applicable law, rule, or regulation;
• your violation of the rights of any third party;
• any dispute between you and another user of the Services or any third party; or
• any content or information you submit, post, or transmit through the Services.

17. Termination

Without limiting our rights at law or elsewhere in these Terms, we may withdraw, modify, restrict, suspend, or terminate your access to our Services (or any part thereof) at any time and in our sole discretion, without prior notice or liability, for any reason whatsoever, including without limitation:

• if you breach or attempt to breach any provision of these Terms;
• if any information provided or representation made by you is false, misleading, or otherwise materially adverse to us; or
• if required to do so by applicable law.

Even if your access to our Services is withdrawn, modified, restricted, suspended, or terminated, you shall remain liable for all amounts owed to us and any other obligations or liabilities you may have incurred under these Terms.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, intellectual property ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

18. Force Majeure

We shall not be liable for non-performance, error, interruption, or delay in the performance of our obligations under these Terms if this is due, in whole or in part, directly or indirectly, to an event or failure which is unavoidable and beyond our reasonable control, including but not limited to acts of God, fire, flood, earthquake, epidemics, pandemics, war, terrorism, riots, civil disorders, government actions, power outages, internet or telecommunications failures, cyberattacks, or any other similar cause.

19. Governing Law and Dispute Resolution

These Terms, their subject matter, and their formation are governed by the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA). The seat of arbitration shall be Delaware, United States. The language of the arbitration shall be English.

20. Restricted Jurisdictions

Due to legal or regulatory reasons, access to or use of our Services may be restricted in certain jurisdictions. Our Services are not intended for use where such use would violate applicable laws or subject us to any registration or licensing requirement. We reserve the right to restrict or prevent access to our Services in any jurisdiction at our sole discretion.

By using our Services, you represent and warrant that you are not located in, or a resident of, any jurisdiction where the use of our Services would be prohibited by law, and that you are not subject to any economic sanctions imposed by any governmental authority.

21. General Provisions

21.1 Entire Agreement

These Terms, together with the Privacy Policy and any other documents referred to herein, constitute the entire agreement and understanding between you and us relating to the subject matter of these Terms, and supersede all prior agreements and understandings relating to the Services.

21.2 Severability

If any court or tribunal having jurisdiction rules that any provision of these Terms is invalid or unenforceable, then that provision will be removed from these Terms without affecting the rest of these Terms, and the remaining provisions shall continue to be valid and enforceable.

21.3 Waiver

Our failure to enforce or delay in enforcing any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any default is not a waiver of any subsequent default.

21.4 Assignment

We may assign, transfer, or sub-contract any or all of our rights and obligations under these Terms without your consent. You shall not assign or transfer any of your rights or obligations under these Terms without our prior written consent.

21.5 Third-Party Rights

Nothing in these Terms, express or implied, is intended to or shall confer upon any person other than the parties hereto any right, benefit, or remedy under these Terms.

21.6 Cumulative Rights

Unless expressly provided otherwise, our rights and remedies under these Terms are cumulative and do not prejudice any rights or remedies available at law or otherwise.

21.7 Survival

All provisions of these Terms which by their nature are intended to survive termination or expiration shall so survive, including but not limited to provisions relating to intellectual property, indemnification, limitation of liability, disclaimer of warranties, and governing law.
